1. DEFINITIONS AND INTERPRETATION
In this Agreement, unless the context otherwise requires, the following terms shall have the meanings set out below:
Company, We, Us, Our, ISSL
Means: Intuitive Support Services Limited
ISSL Customer, You , Your, Customer, User
Means: Customer of Intuitive Support Services Limited, who has been granted access to www.intuitivesupportservices.com/loa and www.intuitivesupportservices.com/legacy-providers by Intuitive Support Services Limited
Content, Site, Service, Product, LOA Submission Guide, Provider Database, Legacy Provider Database
Means: Information displayed on www.intuitivesupportservices.com/loa and www.intuitivesupportservices.com/legacy-providers
Applicable Laws
Means: All laws of England and Wales, rules and regulations applicable to ISSL and the Customer
Terms and Conditions, Agreement

Access Details, User Access, User Account
Means: Access details granted to the Customer, giving them access to www.intuitivesupportservices.com/loa and https://www.intuitivesupportservices.com/legacy-providers
1.1 The headings in this Agreement are inserted for convenience only and shall not affect its construction.
1.2 A reference to a particular law is a reference to it as it is in force for the time being taking account of any amendment, extension, or re-enactment and includes any subordinate legislation for the time being in force made under it.
1.3 Unless the context otherwise requires, a reference to one gender shall include a reference to the other genders.
1.4 Unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular.
1.5 These Terms and Conditions shall be governed by and construed in accordance with English Law.
1.6 Both parties submit to the exclusive jurisdiction of the English Courts to settle any disputes arising under or in connection with this Agreement.
1.7 If any provision of this Agreement is held by any English Court, or other competent authority, to be void or unenforceable in whole or part, the other provisions of the Agreement and the remainder of the affected provisions shall continue to be valid.
2. TERMS OF ENGAGEMENT
2.1 These Terms and Conditions constitute a legally binding agreement between You (the Customer of ISSL), whether personally or on behalf of an entity, and Intuitive Support Services Limited, concerning Your access to and use of the Content. You agree that by accessing the Content, You have read, understood and agreed to be bound by all of these Terms and Conditions.
2.2 These Terms and Conditions set out the terms and conditions between You (the Customer), and Intuitive Support Services Limited, governing the use of Our Service and Content.
2.3 If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Content and you must discontinue use immediately. You are expressly prohibited from accessing the information displayed on https://www.intuitivesupportservices.com/loa or www.intuitivesupportservices.com/legacy-providers , or from using the information contained therein.
2.4 Your use of Our Content, and the information displayed within the LOA Submission Guide (Provider Database) constitutes Your full acceptance of these Terms and Conditions. If you do not agree with these Terms and Conditions, you must not view, download or use the Content.
2.5 The information displayed within the Content is for the use of:
• Intuitive Staff
• Intuitive Administration Customers (Advice Firms actively using the Intuitive Administration Support Service)
• Intuitive Customers (individuals paying a subscription in order to access the Content)
If you do not fall under one of the above categories, you do not have permission to view or utilise the Content.
2.6 We will provide you with prior notice of any scheduled changes to the Service. The modified Terms and Conditions will become effective upon posting or notifying you in an email message. By continuing to use the Content after the effective date of any changes, you agree to be bound by the modified Terms and Conditions.
2.7 The Content is intended for Users who are at least 16 years old. Persons under the age of 16 are not permitted to use or register for the Content.
2.8 We recommend that you print a copy of these Terms and Conditions for Your records.
3. OUR SERVICE
3.1 The Content is not intended to be used in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject Us to any registration requirement, within such jurisdiction or country.
3.2 Accordingly, those persons who choose to access the Content from other locations do so on their own initiative and We are solely responsible for the compliance with local laws, if and to the extent other local laws are applicable.
3.3 ISSL Customers are granted a non-transferable license to view the Content for their own use and reference. You agree that under no circumstances shall you use, or permit to be used, the Content other than for the aforesaid purpose. For the avoidance of doubt, you agree that you shall not copy, re-sell, sublicense, rent out, share or otherwise distribute any of Our Content, whether modified or not, to any third party. You agree that you will not use any of Our Content in a way which might be detrimental to Us or damage Our reputation. You agree not to share Your access details with any other person or firm, who has not got a right to access the Content. You agree not to copy the Content, nor to upload the Content to your own systems. You agree that you will not use the Content for any commercial use, aside from for the purpose intended.Â
3.4 You acknowledge that User Access is granted at individual level, and you acknowledge that User Access details must never be shared. You agree to never share Your Access Details, nor use anyone else’s.
3.6 ISSL Customers must have an active Direct Debit in place. Customers pay monthly in advance. You acknowledge and agree that Your access to the Content will be revoked when you stop or cancel your Direct Debit.
4. YOUR USE OF OUR CONTENT
4.1 Subject to these Terms and Conditions, including the ‘PROHIBITED ACTIVITIES’ section below, We grant you a non-exclusive, non-transferable, revocable licence to access the Content, solely for Your own use and reference.
4.2 No part of the Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licenced, or otherwise exploited for any commercial purpose whatsoever, without Our express prior written permission.
4.3 If you wish to make use of the Content, other than as set out in this section or elsewhere in Our Terms and Conditions, please address Your request to: info@intuitivesupportservices.com
4.4 If We grant you the permission to post, reproduce or publicly display any part of the Content, you must identify Us as the owners of the Content.
5. USER REPRESENTATIONS
5.1 By using the Content, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Terms and Conditions; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Content through automated or non-human means, whether through a bot, script or otherwise; (4) you will not use the Content for any illegal or unauthorised purpose; and (5) Your use of the Content will not violate any applicable law or regulation.
5.2 If you provide any information that is untrue, inaccurate or incomplete, we have the right to suspend or terminate your user account and refuse any and all current or future use of the Content.
6. BILLING AND SUBSCRIPTIONS
6.1 Billing and Renewal
ISSL Customers pay a monthly fee to access the Content:
Your subscription will continue and automatically renew unless cancelled. You consent to us charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of each billing cycle is monthly.
6.2 Cancellation
You can cancel your subscription at any time by contacting us, using the contact details below. Your cancellation will take effect at the end of the current paid term. (Subscriptions are paid monthly in advance).
6.3 Fee Changes
We may, from time to time, make changes to the subscription fee and we will communicate any price change to you in accordance with applicable law.
7. PROHIBTED ACTIVITES
7.1 You may not access or use the Content for any purpose other than that for which we make the Content available. The Content may not be used in connection with any commercial endeavours except those specifically endorsed or approved by us.
7.2 As a User of the Content, you agree not to:
– Systematically retrieve data or other Content from the Service to create or compile, directly or indirectly, a compilation, database, or directory without written permission from Us.
– Trick, defraud, or mislead Us and other users, especially in any attempt to learn sensitive account information such as User passwords
– Circumvent, disable, or otherwise interfere with security-related features of the Content
– Disparage, tarnish, or otherwise harm, in Our opinion, Us and/or the Content.
– Use the Content in a manner inconsistent with any applicable laws or regulations
– Attempt to bypass any measures of the Service designed to prevent or restrict access to the Service
– Use the Content as part of any effort to compete with Us or otherwise use the Content for any revenue-generating endeavour or commercial enterprise
– Use the Content to advertise or offer to sell goods and services
– Sell, share or otherwise transfer the data, or Your Access Details to the Content
– Import the data into your own systems without explicit written agreement from ISSL
7.3 No part of the Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licenced, or otherwise exploited for any commercial purpose whatsoever, without Our express prior written permission.
8. THIRD PARTY WEBSITES AND CONTENT
8.1 The Content contains links to Third Party Websites. Such third-party websites and third-party content are not investigated, monitored, or checked for accuracy, appropriateness or completeness by Us, and We are not responsible for any third-party websites accessed through Our Service.
9. PRIVACY POLICY

9.2 By using the Content, you agree to be bound by Our Privacy Policy, which is incorporated into these Terms and Conditions.
10. TERMINATION
10.1 These Terms and Conditions shall remain in full force and effect while you use the Content.
10.2 Either party may terminate the Agreement with written notice to the other party. ISSL has no further liability to the Customer from the date of disengagement.
10.3 ISSL reserves the right to terminate this Agreement with immediate effect for unprofessional/unreasonable behaviour.
10.4 If We terminate or suspend Your account for any reason, you are prohibited from registering and creating a new account under Your name, a fake name, a borrowed name, or the name of any third party, even if you may be acting on behalf of a third party. In addition to terminating or suspending Your account, We reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal and injunctive redress.
10.5 ISSL reserves the right to withdraw the Service at any time in the future.
10.6 ISSL reserves the right in Our sole discretion and without notice or liability, to deny access to and use of the Service (including blocking certain IP addresses) to any person for any reason or for no reason, including without limitation for breach of any representation warranty or covenant contained in these Terms and Conditions, or for any applicable law or regulation. We may terminate Your use or participation in the Service at any time, without warning in Our sole discretion.
11. MODIFICATIONS AND INTERRUPTIONS
11.1 We reserve the right to change, modify, or remove the Contents of the Service at any time for any reason at Our sole discretion without notice. We have no obligation to update any information on Our Service. We will not be liable to you or any third party for any modification, price change, suspension or discontinuance of the service.
11.2 The Conent is for guidance purposes only. ISSL’s team have manually collated this information, and will update it when made aware of changes. However, caution is needed because details will change over time and this is a constantly moving picture. The Content may not reflect the most up-to-date information. No responsibility is accepted for errors or omissions. You agree to use the information outlined within the Service at Your own risk. No liability is accepted for delays or errors which have arisen as a result of using the information, or links, provided within the Service/Content.
11.3 We cannot guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time or for any reason without notice to you.
11.4 You agree that We have no liability whatsoever for any loss, damage or inconvenience caused by Your inability to access or use the Content during any downtime or discontinuance of the Service. Nothing in these Terms and Conditions will be construed to obligate US to maintain and support the Service or to supply corrections, updates, or releases in connection therewith.
12. CORRECTIONS
12.1 There may be information within the Content that contains typographical errors, inaccuracies or omissions, including descriptions, incorrect links, incorrect postal address and various other information. We reserve the right to correct any errors, inaccuracies or omissions and to change or update the information within the Content at any time, without prior notice.
13. DISCLAIMER
13.1 You agree that Your use of the Service / Content will be at Your sole risk. To the fullest extent permitted by law, We disclaim all warranties express or implied, in connection with the Service and Your use thereof, including without limitation, the implied warranties or merchantability, fitness for a particular purpose and non-infringement.
13.2 We make no warranties or representations about the accuracy or completeness of the Service/Content or the content of any websites linked to the Service and We assume no liability or responsibility for any errors, mistakes or inaccuracies of Content resulting from Your access to and use of the Service/Content.
14. LIMITATIONS OF LIABILITY
14.1 In no event will We or Our Directors, employees or agents be liable to you or any third party for any direct, indirect consequential, exemplary, incidental, special or punitive damages, including lost profit, lost revenue, loss of data or other damages arising from your use of the Service.
14.2 We make every effort to ensure all data is current, that postal addresses are correct, and that email addresses and websites are hyperlinked correctly. HOWEVER, YOU ACKNOWLEDGE THAT IT IS YOUR RESPONSIBILITY TO VERIFY THAT THIS DATA IS CURRENT AND ACCURATE BEFORE RELYING UPON IT, OR USING IT. BY USING THE SERVICE, YOU FULLY ACKNOWLEDGE THAT YOU USE THIS INFORMATION AT YOUR OWN RISK.
14.3 Our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you during the three (3) month period prior to any cause of action arising, for the access to the Service.
14.4 You agree to indemnify Us against all liabilities, claims, demands, expenses, actions, costs, damages, or loss arising out of Your breach of these Terms and Conditions. Furthermore, We shall not be liable to you or any party for consequential, indirect, special or exemplary damages including but not limited to damages for loss of profits, business or anticipated benefits whether arising under tort, contract, negligence or otherwise whether or not foreseen, reasonably foreseeable or advised of the possibility of such damages.
14.5 The Content, whether modified or not, and all copyright contained therein, are and shall at all times remain Our sole and exclusive property. You agree that under no circumstances, whether modified or not, shall you have or attempt to claim ownership of Our Content.
14.6 ISSL is not regulated by the Financial Conduct Authority, and as such is not authorised to give advice in respect of any regulated activity. To this extent, ISSL has no further liability to the Customer or to their Clients or to anyone else for any direct indirect or consequential loss incurred under any regulated activity.
14.7 No liability is accepted by ISSL for any loss, expense, damage costs or delay arising from any failure of ISSL to complete the Service.
14.8 You agree to defend and indemnify ISSL from any damage, liability, claim or demand, including legal costs, made by any third party due to or arising out of (1) Your use of the Service (2) Your breach of these Terms and Conditions.
15. COMPLIANCE WITH DATA PROTECTION LAWS
15.1 Both parties shall abide by the provisions and obligations imposed on them by the Data Protection Laws at all times when processing the Personal Data in connection with the terms of this Agreement.
15.2 ISSL will ensure that all staff who have access to the Personal Data are subject to appropriate contractual obligations of confidentiality..
15.3 If either party is in breach, that party agrees that it shall indemnify the other in respect of any data protection losses, costs (including reasonable legal costs), claims or damages incurred or suffered arising by the other party as result of such breach of any of its obligations under this Agreement, or acting outside or contrary to the lawful processing instructions.
15.4 Each party shall at all times maintain accurate, complete and up-to-date written records of all processing activities under its responsibility that contain at least the minimum information required by Data Protection Laws, and shall make such information available to any Data Protection Regulator on request.
15.5 Protected Data may be retained on ISSL’s secure server, during the period of engagement. ISSL will hold this in the strictest of confidence, on a server which is subject to protected access, encryption, and restricted access based on security groups and permissions. ISSL will implement and maintain technical and organisational measures and procedures to protect the Protected Data against unauthorised or unlawful processing and accidental destruction or loss.
15.6 Protected Data will only be held for specific and lawful purposes and not processed in any matter incompatible with those purposes. ISSL will only use the Protected Data in accordance with the Customer’s written instructions, in the capacity of providing the Service (unless required by law to act without such instructions).
15.7 ISSL will assist the Customer in meeting its GDPR obligations in relation to the security of processing, the notification of Personal Data Breaches and data protection impact assessments. Should ISSL become aware of a Personal Data Breach, ISSL will notify the Customer without undue delay after becoming aware.
15.10 If a Data Subject should want to know what information ISSL holds about them (if any) they can email info@intuitivesupportservices.com, giving their name and email address.
15.12 Nothing within this Agreement relieves ISSL of its own direct responsibilities and liabilities under current Data Protection Laws.
